General

Welcome to the e-commerce website of Bearhouse Company.

1. The "Bearhouse" website (hereinafter: the "Site") is operated by Bearhouse Ltd. Vat number 517012373  (hereinafter: the "Company").

2. The site serves as an e-commerce site for purchasing various types of products and services, including electrical products, electronics, multimedia, computing, etc. (all hereinafter: the "Products"), by the Internet surfers.

3. The buyers will be able to purchase products from the best manufacturers and importers operating in Israel (hereinafter: the "Suppliers") through the site.

4. Every order and delivery of a product from the site is subject to its existence in stock. The prices and payment terms are intended for purchase on the site only.

5. Participation in sales is subject to the conditions as detailed in these regulations. The surfer who wishes to participate in sales must comply with the conditions set forth in the regulations in aggregate.

6. Reading the regulations constitutes approval and agreement to all sections appearing therein.

7. In any case of contradiction and/or inconsistency between the provisions of the regulations and any other publication, the provisions of these regulations will prevail.

8. These regulations were prepared in accordance with and subject to the provisions of the Consumer Protection Law 5741-1981 and the regulations enacted thereunder (all hereinafter referred to as: "Consumer Protection Law" or "the Law")

9. Without derogating from the above, in any case of contradiction and/or inconsistency between the provisions of the regulations and the Consumer Protection Law, the provisions of the Consumer Protection Law shall prevail.

10. The content uploaded to the site may be displayed in any other media, including cellular/television media and/or any other means other than the site, and the provisions of these regulations shall apply to any such media.

11. The Company reserves the right to change and/or update the regulations at any time, at its sole discretion, without the need for prior notice, and any change shall be binding from the moment of its publication on the site.

12. The use of the masculine gender is for convenience purposes only.

13. The provisions of these regulations in the masculine gender also include the feminine gender. By implication.

Definitions

14. In these regulations, the following terms will have the meaning listed next to them:

• "The Site" - including any part thereof.

• "The Company" - the owners of the Site and/or the Site administrators and/or the Site designers and/or the Site maintainers and/or the Site operator.

• "Content" - any material that appears on the Site or part thereof, including texts, banners, photographs, images, prices, etc.

• "Customer" - a surfer who purchased a product through the Site, the order was approved by the Company and the transaction was approved by the credit company.

• "The Law" - the Consumer Protection Law, 5741-1981 and the regulations enacted under it.

• A unique group - a consumer group with one or more similar characteristics: for example, the student body

• "Special sale" - as defined in the Consumer Protection Law - "End-of-season sale, full or partial liquidation sale, sale on the occasion of any event, sale in which the consumer is offered an additional benefit on the goods or services for which he paid, or any other sale in which the goods or services of the business, all or part, are offered at reduced prices for a certain period, not by way of providing a discount to the consumer"

Conditions for the eligibility of users of the site

15. Only those who meet the following conditions in aggregate may purchase through the site:

15.1. Any person over the age of 18, who holds an Israeli identity card, who is authorized to perform a legal act, or any corporation legally incorporated and registered in Israel.

15.2. The user has read the site's regulations and approved its content in the manner prescribed on the site.

15.3. The user has an e-mail box and an address in Israel.

15.4. The surfer has a valid Israeli or international credit card, issued in Israel by one of the credit card companies.

15.5. Any wholesale purchase requires the Company's written approval.

16. Any purchase through the Site is subject to registration and the provision of complete, correct and accurate personal details on the Site.

17. The Company shall be entitled to prevent a surfer who has provided incorrect details from taking part in the sales it carries out within the framework of the Site.

18. The surfer shall order products for his private use only and shall not trade in them.

19. Without derogating from the above, the Company shall be entitled, at its discretion and at any time, to cancel an order and/or prevent a surfer from using the Site if he has committed an illegal act, and/or has knowingly provided the Company with incorrect details in writing or orally, and/or has violated a term of the Terms and Conditions, and/or he has committed an act that is likely to harm the Site's operations and/or the Company, and/or if the Company has reasonable grounds to assume that he has traded or intends to trade in the products he has ordered and/or intends to trade. Sale details - General

20. For each product advertised on the site, the sale details will be displayed as follows:

20.10. Image - For the avoidance of doubt, it is clarified here that the images displayed on the site alongside the information about the product are for illustration purposes only and their publication is the sole responsibility of the product supplier.

20.11 Any other relevant details

Registration on the site for the purpose of ordering

21. In order to place an order for a product, the surfer will be required to register on the site by choosing a username and password, and to confirm that he has read and accepted the provisions of the regulations (hereinafter: "Registration on the site").

22. As part of the registration on the site, the surfer must provide personal details: name, ID card number, current address, e-mail address, mobile phone number, home phone number, credit card number, as well as additional details as may be required for the purpose of placing the order.

23. A surfer who does not wish to provide credit card details on the site may mark on the site as part of the payment terms - telephone transaction, and then the credit card details will be provided by telephone to a company service representative who will contact the surfer at the phone number that the participant leaves. The participant is aware that all telephone calls with the site are recorded for monitoring purposes, and by actually contacting the site by telephone to provide the details, he gives his consent for the call to be recorded. 24. To the extent that the surfer's order is approved by the company based on the personal and other details he provided, and a purchase is made, the surfer will be considered a customer from this stage.

25. In order for the order to be approved and executed efficiently and quickly, care must be taken to provide complete and accurate details.



Confirmation of the order by the Company and the credit card company

26. Confirmation of the order is conditional on receipt of approval from the Company and approval from the surfer's credit card company, the details of which he will provide as part of the registration process or by telephone to the Company (hereinafter: "the credit card company"). The Company will receive confirmation from the credit card company regarding the validity of the card and confirmation of the transaction.

Payment cannot be made using a prepaid credit card.

27. Upon receipt of approval/refusal from the credit card company to execute the transaction, an appropriate notification will be delivered via the e-mail sent to the Company, stating that the transaction has been approved or refused by the credit card company.

28. The order will be considered approved only after receiving the Company's and the credit card company's approval to execute the transaction, and the shipping dates will only begin to be counted from the date the transaction is approved by the credit card company.

29. When receiving the product, the credit card holder must present an ID card or other identification document that includes a social security number, such as a driver's license or passport, and sign a shipping certificate.

Sending a disclosure notice to the customer after confirming the transaction

30. After completing the details in the order form, the customer's credit card will be charged and after the charge, the customer will receive a "Proper Disclosure Form" notice by e-mail (hereinafter: the "Disclosure Notice").

31. The disclosure notice will include:

31.1. The name, ID number/corporate number and address of the supplier in Israel and/or abroad.

31.2. The main features of the product or service.

31.3. The price of the property or service and the payment terms applicable to the transaction.

31.4. The manner in which the consumer can exercise his right Cancel the transaction.

31.5. Name of the manufacturer and country of manufacture of the product.

31.6. Information regarding the warranty for the property or service.

31.7. Additional terms and conditions applicable to the transaction, if any.

Deliveries and delivery dates

32. Most products ordered through the site will be delivered to the customer by the company and/or someone on its behalf and/or by the suppliers and/or someone on their behalf, as applicable.

34. Notwithstanding the above, delivery terms for products delivered directly by an external supplier will be specified on the product page.

35. Delivery fees - to the extent that delivery fees are charged, these will be detailed both on the product page and in the customer disclosure form.

Installations at the customer's home

36. If a customer is interested in installing the product purchased by him, and if the installation is part of the service provided by the supplier, the installation will be performed only by the supplier and/or someone on their behalf. on his behalf in return and subject to the conditions to be determined by the Supplier.

37. All installation shall be the sole responsibility of the Supplier and/or anyone on his behalf who performed it.

38. For the avoidance of doubt, the Company shall not be responsible in any way for the performance of the installation, its quality and/or cost, and shall not be liable for any damage caused, directly and/or indirectly, to the Customer in connection therewith.

39. Without prejudice to the generality of the above, in any case where installation of a device is required in the Customer's home, the Customer must first verify that it is possible to perform the installation according to the data available in his home and/or the products purchased by him, and the costs involved.

Types of sales on the Site

40. Open Sale

40.1. In an open sale, the price of the product is determined in advance by the Company.

40.2. The sale is open to any surfer and is limited in time and in the quantity of items offered for sale.

40.3. It is clarified that available inventory data for each product is published on the site, and changes from time to time.

40.4. The price displayed on the site in an open sale is the determining price. Shipping fees will be added to the determining price, if any, and as published in the sale details.

40.5. Without derogating from the above, the company will not charge shipping fees if the final payment for the purchased product(s) exceeds 1990 shekels.

40.6. After a surfer clicks on the "Additional Details" tab, the participant will be taken to a screen detailing the sale details, with an "Order Form" appearing at the bottom of the page, in which he will be asked to complete all of his details, as well as his credit card details.

40.7. After completing the details in the order form, the user will be charged, and after the charge, the customer will receive the disclosure notice by e-mail.

41. Sale to a unique group

41.1. The Company may offer surfers belonging to a unique group the opportunity to purchase specific products at discounts and/or special benefits.

41.2. The Company may check whether the surfer is part of the unique group.

42. Special sale

. In a special sale, a reasonable stock of the product(s) included in it will be allocated, and minimum stock data offered for the sale will be published.

Warranty and after-sales service

43. New electronic and electrical products priced over 450 shekels benefit from manufacturer/importer warranty according to the Consumer Protection Law and the Consumer Protection Regulations (Warranty and After-Sales Service) 5766-2006, as they may be in force from time to time.

44. You can review the warranty terms of each product before purchasing the product, as part of the product purchase details.

45. The warranty terms for each product will be detailed in the disclosure notice that will be delivered to the customer.

46. A warranty certificate and warranty sticker from the manufacturer/importer will be delivered to the customer along with the product according to law and subject to the consumer protection regulations.



Products that are out of stock

47. Each supplier/manufacturer/importer is responsible for updating the quantity of items in stock and available for sale, and the Company will not be responsible for the existence of the products in stock with each supplier/manufacturer/importer, except for the products it imports.

48. The Company makes every effort to display on the Site the products in stock at each supplier in real time. However, sometimes a particular product runs out of stock before it is removed from the Site.

49. In the event that a product runs out of stock before it is removed from the Site, the relevant party in the Company will contact the Customer and offer him an alternative product whose price is as similar as possible.

50. Alternatively, the Company will offer to cancel the transaction.

Cancellation of a transaction carried out on the Site

51. Please note that a transaction carried out through the Site is defined as a distance selling transaction in accordance with the definition found in Section 14C of the Consumer Protection Law. A

distance selling transaction is an engagement in a transaction for the sale of an asset or the provision of a service, when

the engagement is made following distance marketing, and without the joint presence of the parties to the transaction.

According to Section 14 C (c) 14 C1 (c) of the Consumer Protection Law, sales transactions may be canceled in the following cases:

51.1. Due to a defect in the product, a discrepancy between the origin and the details specified in the disclosure form and/or on the website, or due to failure to deliver the product on the dates set by the Company.

In this case, no cancellation fees will be charged from the customer for the transaction.

In the circumstances listed in Section 52.1. The customer will make the said product available to the company at the place where it was delivered to him, and will notify the company thereof.

The company will be responsible for collecting the product subject to cancellation.

51.2. To the extent that the customer requests to cancel a transaction for reasons other than those listed above, the company will be entitled to charge cancellation fees in the amount of 5% of the product price or 100 shekels, whichever is lower.

In the circumstances listed in Section 52.2. The customer shall return the product to the trader at the place of his transaction, and the same shall apply to any property received by the consumer following the conclusion of the transaction or contract.

Deadlines for cancellation of a transaction

51.3. In a distance selling transaction, the consumer may cancel the transaction - from the date of execution of the transaction and up to 14 days from the date of return to normal work routine, or from the date of receipt of the document containing the details stated in the disclosure form, whichever is later;

51.4. Without derogating from the above, in so far as the transaction was conducted with a customer who is a person with a disability, a veteran citizen or a new immigrant, the customer shall be entitled to cancel the transaction within four months from the date of its execution, from the date of receipt of the product or from the date of receipt of the document containing the details stated in the disclosure form, as the case may be, whichever is later. Provided that the engagement in the transaction included a conversation between the trader and the consumer, including a conversation via electronic communication.

51.5. In the cases listed in Section 52.4, the Company may request the Customer to receive a copy by email and/or fax of:

51.5.1. A certificate issued to the Consumer by the State attesting that he is a senior citizen;

51.5.2. An immigrant certificate or immigrant eligibility certificate;

51.5.3. A certificate attesting that the Customer is a person with a disability for a period exceeding six months, issued by an entity authorized by law to determine the existence of such a disability;

51.5.4. A certificate listed in the Fifth Schedule to the Law;

Transactions that cannot be canceled

52. According to the Consumer Protection Law, distance sales transactions of:

52.1. Perishable goods (perishable products with a short shelf life, such as food products, flowers, medicines).

52.2. Information as defined in the Computer Law, 1995.

52.3. Products specially ordered for the customer*.

52.4. Products that can be recorded, reproduced or duplicated and whose original packaging has been opened by the customer.

*It is clarified here that it is not possible to cancel a transaction for a stationary or portable computer that was assembled and/or manufactured according to the customer's specific requirements.

Cancellation of an order and/or transaction by the Company

53. The Company may not confirm an order and/or cancel a transaction, among other things, in the following cases:

53.1. If it becomes clear to it that there was a clerical error or other unusual and material error made in good faith in presenting the sales details of a product and/or service.

53.2. Due to a communication failure and/or other technical problem that damaged a proper purchasing process.

53.3. If it becomes clear that during the sale, illegal activity was carried out by any party.

53.4. In cases of force majeure that prevent the continuation of the sale and/or its proper management.

54. The company will send a notification of the cancellation of the purchase to the customer via the email provided when placing the order.

55. If an order confirmation and/or transaction confirmation is sent in relation to a transaction that has been canceled, a notification will be given to the supplier who is responsible for providing the products and/or services that are the subject of the transaction. In this case, the transaction will be canceled and the customer will be credited with the purchase cost.

56. In the event of a transaction cancellation as stated above, the customer will not have any claim and/or demand and/or claim against the company and/or anyone on its behalf to the extent that they acted in accordance with the above.

Methods for delivering cancellation notices

57. In accordance with the provisions of Section 14T (a) of the Law, the customer shall deliver notice regarding the cancellation of the transaction in one of the following ways:

Company policy regarding promotions

- 1+1 promotion: The cheapest of all the products participating in the promotion that will be purchased as part of the same transaction.

- Discount promotion on the second product: The cheapest of all the products participating in the promotion that will be purchased as part of the same transaction.

-Return of products purchased as part of a promotion will be possible only after all the products purchased as part of the promotion have been returned, and they have not been used. The credit will be given on the amount paid for the products as part of the promotion.


Cycle

63. In accordance with the provisions of the Law for the Treatment of Electronic, Electrical Equipment and Batteries 5772 (2012), Section 30 A, and as a chain that markets electronic and electrical products, old electronic and electrical products can be delivered to Bug stores:

64. Acceptance of the old product is conditional on the purchase of a new product from the same family, except for batteries.

65. Acceptance of the old product is free of charge. The Company's

Limitation of the Company's Liability

66. The Company will be solely responsible for direct damages caused to the customer or anyone on his behalf who purchased a product through the website. The Company will not be liable for any indirect damage of any kind or type.

67. Without prejudice to the above, the limits of the Company's liability for direct damage caused to the customer or anyone on his behalf are limited to an amount equal to twice the value of the product purchased.

Law and Jurisdiction

68. The use of the website shall be governed solely by the laws of the State of Israel.

69. Jurisdiction in the event of a dispute shall be vested exclusively in the courts of the Tel Aviv district authorized to hear the matter.
